Overview

Jane Taber has a comprehensive business law and mediation practice with over two decades of experience representing businesses in a myriad of diverse transactional matters advising on corporate governance, operational concerns, risk management, business dispute resolution, contracts, and mergers and acquisitions to name a few. Her negotiation acumen has proven to be invaluable in mediating business disputes to resolution as a mediator. Jane has a particular emphasis in addressing the unique regulatory, operational and legal nuances of the health care and insurance industries. She advises clients in business and operational issues, acquisitions, disciplinary actions, general compliance, fraud & abuse, illegal remuneration, referrals and Stark legislation. She has represented physician groups in negotiation of practice acquisitions and various contractual negotiations involving on-call arrangements, medical director agreements, employment and non-compete arrangements, ownership acquisitions and terminations.

Jane has represented insurance companies, agencies and related entities on formations, mergers, liquidations, general business, regulatory filings, holding company and administrative law issues, and reinsurance arbitration disputes.

Jane has been recognized for her writing ability by the Texas State Bar, having received the Best in Series Substantive Law award in 2008. She also has the distinction of being selected as one of the top women lawyers in Dallas for her work in corporate finance, mergers and acquisitions by D Magazine in 2010.

Representative Clients

Jane represents the largest residential home builder in the US, handling insurance, risk management, regulatory and licensing work. She also represented one of the largest title insurance companies in its holding company and regulatory matters, and in a series of three mergers and one liquidation.

Jane has represented the 1,200 member Texas Association for Home Care trade association in its challenge to the constitutionality of reimbursement legislation and continues to represent many individual member home health agencies on various legal matters.

Jane recently represented a publicly traded in the acquisition of manufacturing equipment and other assets. The transaction included a complicated multi-year supply agreement and short-term equipment lease pending transfer of the acquired assets to buyer’s plant facility.

Her clients range from large public companies in a diversified complement of industries, to small to mid-sized companies, and individual physicians and physician groups in all aspects of general corporate and transactional contract counseling, contract drafting, dispute resolution, and negotiation. In addition to business formation and general corporate work, Jane counsels clients on various contracts. Some examples of Jane’s recent contract work includes drafting compensation incentive plans, executive indemnity agreements buy/sell agreements, record retention agreements with third-party vendors, master service agreements, nondisclosure and confidentiality agreements, asset purchase agreements, and various vendor contracts.
