Carlisle Braun

Biography

Carlisle A. Braun is a value-added business attorney who regularly serves as outside general counsel for midsize and small businesses, particularly in the real estate, franchising and hospitality industries.   Mr. Braun is often the first call when companies encounter business issues with legal implications.  Acting as a strategic advisor, Mr. Braun provides timely and on-demand legal counsel in order to execute and implement progressive solutions for his clients’ business. 

In a general counsel role, Mr. Braun has coordinated and overseen:

  • Commercial contracts, including franchising agreements, commercial leases, loan agreements, asset purchase agreements and development agreements
  • Corporate governance, including entity formation, shareholder resolutions and consents and director meetings
  • Commercial and civil ligation, including governmental investigations
  • Employment matters, including hiring, retention, termination, discriminatory practices, wage and hour issues, union negotiations, non-compete agreement and employee handbooks
  • Real estate purchases
  • Counseling of owners and officers on fiduciary duties and strategic considerations
  • Banking

Representative Matters

Achieved more than $3.5M in company savings through reductions in settlements, judgments and legal spend for franchisee client

Closed $30M in additional funding through amendment to $250M+ syndicated credit facility for franchisee client

Closed $6M construction loan for acquisition of new corporate office for franchisee client

Closed $12M loan to refinance existing debt and provide funding to recapitalize equity for franchisee client

Managed corporate matter involving construction and development of a $100M+ Native American Casino in Devol, Oklahoma for hospitality client 

Settled unfair labor charges filed by the Communications Workers of America, AFL-CIO, before the NLRB for franchisee client

Resolved approximately 100+ EEOC, TWC, and DOL charges and investigations for franchisee client
